These Terms of Service ("Terms") apply to all manufacturing and development services provided by Toyvao, including but not limited to:

Quotations & Validity Period

📊 Quotation Basis

• Technical drawings and specifications
• Material requirements and certifications
• Production quantity and timeline
• Required certifications (CE, FCC, CPC, etc.)

⏰ Validity & Changes

• Standard validity: 30 days from issue date
• Price adjustments for material cost fluctuations
• Specification changes may affect pricing
• Written confirmation required for modifications

Intellectual Property & Confidentiality

🔒 Non-Disclosure Agreement (NDA)

All client information, designs, and specifications are treated as strictly confidential. We maintain comprehensive NDAs to protect your intellectual property throughout the development and manufacturing process.

🏗️ Mold Ownership

Mold ownership terms are clearly defined in project agreements. Typically, clients retain ownership rights after full payment completion.

🎨 Design Protection

Client designs and proprietary information are protected under strict confidentiality protocols and are never shared with third parties.

Orders & Payment Terms

• Minimum order quantities vary by product complexity
• Typically 1,000-5,000 pieces for standard items
• Custom mold projects: 10,000+ pieces
• Flexible terms for long-term partnerships

🔬 Sampling Process

• Prototype development: 7-15 days
• Sample approval before mass production
• Modifications included in initial quote
• Final sample serves as production standard

💳 Payment Schedule

• 30% deposit upon order confirmation
• 40% upon production completion
• 30% balance before shipment
• T/T, L/C, or approved payment methods

Legal Terms & Dispute Resolution

⚖️ Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. All business relationships are subject to Chinese commercial law and international trade regulations.

🤝 Dispute Resolution

Disputes shall first be resolved through good-faith negotiation. If unsuccessful, matters will be submitted to binding arbitration under the China International Economic and Trade Arbitration Commission (CIETAC) rules.

📍 Jurisdiction

For matters requiring court jurisdiction, the courts of Guangdong Province, China shall have exclusive jurisdiction over any disputes arising from these Terms of Service.
